Roche Pharmaceuticals (Israel) Ltd. (“Roche”) is committed to a healthier future, continuously advancing science and ensuring patients has access to the healthcare they need today and for generations to come. As part of this commitment, Roche, in collaboration with the Israeli Eye Association, is pleased to undertake the Retina Innovation Lab, as part of the Roche for a Better Future Innovation Platform. The Retina Innovation Lab is a collaborative program designed for medical teams dedicated to transforming retinal care and driving long- term patient adherence (such program as recorded herein, the: “Program”).

Roche will publish a call for participation (the “Call for Participation”) under which eligible medical centers in Israel will be invited to submit an application to participate in the Program. The Program stages and timeline are published on the program website. By entry into the Program by any medical center (“Participant”), Participant unconditionally accepts and agrees to comply with and abide by all the terms and provisions of this document (“Official Rules”) and the decisions of Roche regarding the Program, which shall be final and binding in all respects.

The Program is open to the following Participants: medical centers and/or hospitals located in Israel, acting through an internal team to lead the Program locally, which must include a retina specialist, retina resident and innovation expert. The team may also include a nurse, administration representative, and patient experience expert and/or any additional participants as the medical center deems appropriate.

Roche will select, at its sole discretion, up to five (5) Participants to participate in the Program (the “Medical Center/s”).  Medical Centers must commit to making themselves available for, and to participate in, all meetings and sessions scheduled under the Program, including any in-person and/or virtual meetings.

(the “Entry Website“) and submit your entity as a potential Participant by completing the official entry form presented there (“Entry Form”) and approving the Official Rules (Entry Form and the Official Rules collectively: “Entry Requirements”, and the submission of each Participant: “Entry”). By placing an Entry, each Participant affirms that it has read and agreed to all the terms and provisions of these Official Rules.

By participating in the Program, each Entrant represents, warrants and/or undertakes as follows:

(a)  Participant’s signatory confirming the Entry Form is authorized to represent the Medical Center and to bind it to these Official Rules.   

(b)  Any material provided by Entrant under the Program, including the Entrant’s proposed practical solution/s (e.g. clinical/operational/digital/patient experience) to the main challenges identified under the Program (“Proposal/s” or “Submissions”), shall not infringe any third party rights.

(c)   Personal information collected by Roche in connection with the Program may be used by Roche in accordance with Roche’s privacy policy located at www.roche4med.co.il/privacy-statement.html and such information, including without limitation name, mailing address, phone number, and email address may be collected, processed, stored and otherwise used by Roche inter alia for the purposes of administering the Program. Participants are not under any obligation to provide personal information; however, the administration of the Program with regard to a Participant who does not provide certain information may not be possible. Affiliates of Roche, as well as other third parties including for example Israeli Eye Association, advisors and the Program’s Advisory Committee members, in or outside of Israel (collectively: “Collaborators”) will have access to the Submission as well as any other material, document, data, information (including personal information) and/or activity in relation to the Program (and for clarity Roche and Collaborators may exchange any Submission and other documents, data and information).

(d)  Participant is aware that Roche reserves the right to disqualify any Submission that Roche, in its sole discretion, deems to violate these Official Rules.

(e)  By participating in the Program, each Participant hereby grants to Roche the right to use the Submission solely to the extent necessary to administer the Program, and to publicly perform and publicly display the Submission, including, without limitation, for advertising and promotional purposes relating to the Program.

(f)    Participants understands and agrees that Roche and the Collaborators may use, disclose, and publicize information included in the Submission, and that such information will not be treated as confidential.

(g)  Participant acknowledges that any innovation advisor or other third-party supporter made available in connection with the Program is acting independently and not on behalf of Roche, and that Roche shall not be responsible or liable for any act, omission, advice or output of any such third party. Each Medical Center may be given the opportunity to consult with an innovation advisor for up to two (2) hours to support its participation in the Program.

(h)  Participant acknowledges that Roche reserve the right, in addition to those other rights reserved herein, to modify any dates or deadlines set forth in these Official Rules and/or in the Entry Website and/or modify and/or change any other provisions set forth in these Official Rules for any reason. Entrants will be notified of such changes according to the contact information provided by them.

By participating in the Program, each Entrant hereby irrevocably grants to Roche the right to use such Entrant’s name in any and all media (including social media) for any purpose, including, advertising and promotional purposes relating to the Program. Participation in the Program does not confer any right on the Entrant to use any name, trademark, service mark or other designation of Roche and/or any entity affiliated with Roche (including any contraction, abbreviation, or simulation of Roche name) and/or any other Collaborator in advertising, publicity or any promotional activities.

Advisory Committee review

An advisory committee selected by Roche (“Advisory Committee”) shall review the Submissions submitted by the Medical Center/s in order to provide their non-binding recommendation regarding the selection of the winning Proposal submitted by the Medical Center/s. Evaluation criteria may include, without limitation, the following non exhaustive list: scalable (addressing broad challenges), feasible to implement, and have a clear impact on long-term patient persistence.

Final Showcase Event

All applicable representatives of Medical Center/s will pitch their Proposal to the Advisory Committee at the Final Showcase Event (“Final Showcase Event”). It is recorded that the Final Showcase Event may be recorded by audio/video by Roche and/or anyone on its behalf, and Participants provide their approval (and have procured the approval of their staff and anyone else on their behalf participating in the Showcase Event) for the use by Roche and/or anyone on its behalf of such recording/s or any part thereof (including public use such as for example posting on a Roche website and/or Entry Website).

Following the Advisory Committee’s recommendation, Roche at its sole discretion (and without need to provide reasons), may select one or more winning Proposals of the Program. Each Participant unconditionally acknowledges and agrees to be bound by the final winner selection of Roche, which decision shall be final and binding in all respects and is not subject to any appeal.

Winning Proposal/s shall be eligible to receive a gross amount of up to NIS 100,000 (VAT inclusive) to be used solely to advance the development of the Proposal (“Monetary Grant”). The Monetary Grant shall be subject to signing a separate collaboration agreement between the winner and Roche. For the avoidance of doubt, if such collaboration agreement is not executed for any reason, no Monetary Grant will be awarded or paid. For the avoidance of doubt, Roche will not be able to provide or support any manpower/personnel resources. It is clarified that Roche may, in its sole discretion, select more than one (1) winner under the Program and, in such case, Roche may allocate and split the Monetary Grant among two (2) or more winners in such amounts and on such terms as Roche may determine in its sole discretion.

Participants are responsible for their own participation in the Program and for complying with applicable internal policies and legal requirements. Roche and the Collaborators shall not be liable for technical malfunctions, delays, interruptions, lost communications, or events beyond their reasonable control that affect the Program. Roche may modify, suspend, or terminate the Program due to force majeure or other circumstances beyond its reasonable control. If any provision of these Official Rules is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. All issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules and the rights and obligations of Entrants or Roche in connection with the Program and any aspect of the Program shall be governed by and construed in accordance with the laws of Israel and any and all disputes relating to a Submission and/or subsequent interaction with Roche and/or these Official Rules and/or the Program shall be exclusively referred to the courts located in Tel Aviv, Israel.

The Retina Innovation Lab, as part of the Roche for a Better Future Innovation Program, is designed for medical teams dedicated to transforming retinal care and driving long- term improvements in patient adherence and persistence.

The program is open to medical centers that can assemble a multidisciplinary team, including a retina specialist, retina resident and innovation expert. Additional team members may include a nurse, administration representative, and patient experience representative, and/or any additional participants as the Medical Center deems appropriate. Up to 5 medical centers will be selected to participate in the program.

Participation in the program is provided at no cost for the selected medical centers. Roche provides the professional framework, external moderation, and tools throughout the program roadmap.

Participating centers are expected to form a dedicated team and participate in a national launch event, two “Round Table” workshops within the medical center, and a final national showcase.

Teams will be asked to provide a summary report of the patient journey after the first workshop and a detailed proposal for their solution, including a budget outline, if needed, following the second workshop.

Independently of the Lab, Roche will conduct a patient survey to identify challenges to adherence from the patient’s perspective. The results will be shared with the Lab participants.

The Advisory Committee will evaluate the proposals and provide recommendations based on their scalability (addressing a broad challenge), feasibility to implement, and their impact on long term patient adherence. The final selection is made by Roche.

For the avoidance of doubt, Roche will not be able to provide or support any manpower/personnel resources. 

No. This program is not focused on any specific medication, and there should be no product promotion within the solution.
